1. Agreement to Terms

Welcome to Digit and Tech (“Company,” “we,” “us,” or “our”), a professional digital agency offering web design, web development, search engine optimisation, digital marketing, graphic design, mobile app development, ecommerce solutions, and IT consulting services. These Terms of Service (“Terms,” “Agreement”) constitute a legally binding contract between you (“Client,” “you,” or “your”) and Digit and Tech governing your access to and use of our website at www.digitntech.com and all services delivered by us.

By accessing our website, submitting an enquiry, signing a project proposal, making a payment, or otherwise engaging with Digit and Tech in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not engage with our services or use our website.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Continued engagement with our services after such notification constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Services Offered

Digit and Tech provides a comprehensive suite of digital services designed to help businesses of all sizes establish, grow, and dominate their online presence. Our core service offerings include, but are not limited to:

2.1 Web Design & Development

We design and develop custom websites tailored to your brand identity, business goals, and target audience. This includes UI/UX design, responsive design, front-end development, back-end development, Content Management System (CMS) integration (WordPress, Shopify, Wix), API development, and quality assurance testing. All websites are built with performance, accessibility (WCAG standards), and search engine friendliness as core priorities.

2.2 Search Engine Optimisation (SEO)

Our SEO services encompass technical SEO audits and implementation, on-page SEO optimisation, off-page SEO and link building, local SEO, Google Business Profile (GBP) optimisation, ecommerce SEO, service-based business SEO, and cutting-edge Answer Engine Optimisation (AEO), Generative Engine Optimisation (GEO), and Large Language Model (LLM) SEO strategies designed to capture traffic from AI-powered search experiences.

2.3 Digital Marketing & Paid Advertising

We manage performance-driven advertising campaigns across all major platforms including Google Ads (Search, Display, Shopping, YouTube), Facebook Ads & Instagram Ads (Meta Advertising), TikTok Ads, Snapchat Ads, and YouTube SEO. Our campaigns are data-driven, continuously optimised for maximum return on ad spend (ROAS), and aligned with your specific conversion goals.

2.4 Graphic Design

Our creative team delivers brand identity design, logo design, marketing materials, social media graphics, infographics, presentation design, and all forms of digital and print design assets to elevate your brand’s visual communication.

2.5 Mobile App Development

We build native and cross-platform mobile applications for iOS and Android platforms. Our app development process covers product discovery, wireframing, UI/UX design, agile development, quality assurance, App Store and Google Play submission, and post-launch maintenance and support.

2.6 Ecommerce Development

We create high-converting ecommerce stores on platforms including Shopify, WooCommerce, and custom-built solutions. Services include product catalogue setup, payment gateway integration, inventory management systems, conversion rate optimisation (CRO), dropshipping store setup, and ongoing ecommerce growth strategies.

2.7 IT Consulting & Custom Software

Our IT consulting and custom software development services help businesses streamline operations, automate workflows, and build scalable software solutions including SaaS applications, enterprise software, CRM systems, and digital transformation roadmaps.

3. Engagement Process & Project Commencement

All projects commence with a formal discovery call or consultation, after which Digit and Tech prepares a custom proposal outlining the scope of work, deliverables, timeline, and fees. A project is formally engaged only when the Client:

  • Signs or digitally accepts the project proposal or statement of work (SOW);
  • Pays the required deposit or first milestone payment as specified in the proposal; and
  • Provides all required onboarding information and access credentials as requested by Digit and Tech.

Work will not commence until all three conditions are satisfied. Any verbal agreements or informal communications do not constitute a binding project agreement.

4. Payment Terms & Billing

4.1 Pricing

All prices quoted by Digit and Tech are in United States Dollars (USD) unless otherwise specified in writing. Prices are subject to change; however, any price change will not affect projects already confirmed by accepted proposal and received deposit.

4.2 Payment Schedule

For most projects, Digit and Tech operates on a milestone-based payment structure. Typically, this includes a deposit of 30–50% of the total project value due before work commences, with the remainder due upon project completion or across agreed milestones. Monthly retainer services (such as SEO, PPC management, or social media marketing) are invoiced monthly in advance.

4.3 Late Payments

Invoices are due within 7 calendar days of issuance unless otherwise stated. Overdue invoices will incur a late payment fee of 1.5% per month on the outstanding balance. Digit and Tech reserves the right to pause or suspend all active work until overdue balances are paid in full. Continued non-payment may result in project termination, with the Client forfeiting any work completed but unpaid.

4.4 Refund Policy

Deposits paid to commence a project are non-refundable, as they are used to allocate team resources and begin preparatory work. If a project is cancelled by the Client after commencement, the Client is liable to pay for all work completed up to the date of cancellation, including any third-party costs incurred on the Client’s behalf. Digit and Tech will provide an itemised account of work completed. Monthly retainer fees paid in advance are non-refundable for the current billing period but the Client may cancel future billing by providing 30 days written notice.

4.5 Taxes

Our quoted prices exclude applicable taxes (such as VAT, GST, or sales tax). Clients are responsible for any taxes applicable in their jurisdiction. If Digit and Tech is required by law to collect taxes, these will be added to invoices.

5. Client Responsibilities

The successful delivery of your project depends on active collaboration. By engaging our services, you agree to:

  • Provide timely feedback: Respond to requests for feedback, approvals, and content within 5 business days. Delays caused by the Client may impact project timelines without any liability to Digit and Tech.
  • Supply required materials: Provide all necessary content (text, images, videos, brand assets, access credentials, etc.) in a timely manner and in the formats specified.
  • Designate a point of contact: Assign one authorised representative with decision-making authority to manage communications with our team.
  • Provide accurate information: Ensure that all information, data, and materials provided to Digit and Tech are accurate, lawful, and do not infringe any third-party rights.
  • Maintain legal compliance: Ensure your website, business, and any content used in our services complies with all applicable laws and regulations in your jurisdiction.
  • Grant necessary access: Provide timely access to website hosting, domain registrars, advertising accounts, analytics platforms, and any other systems necessary for project completion.

6. Intellectual Property Rights

6.1 Ownership Upon Full Payment

Upon receipt of full payment for a completed project, Digit and Tech transfers to the Client all intellectual property rights in the custom deliverables created specifically for that project, including website designs, written content, graphic assets, and custom code. This transfer applies solely to bespoke work created for the Client and does not apply to third-party elements, pre-existing frameworks, or proprietary tools.

6.2 Third-Party Components

Many projects incorporate third-party elements such as WordPress themes, plugins, stock photography, icon libraries, JavaScript frameworks, font libraries, and SaaS tools. These are subject to their respective third-party licences and are not transferred to the Client by Digit and Tech. It is the Client’s responsibility to maintain valid licences for all third-party components used in their project after handover.

6.3 Portfolio Rights

Unless the Client requests otherwise in writing prior to project commencement, Digit and Tech reserves the right to display completed work in our portfolio, case studies, social media channels, and marketing materials. We will never disclose confidential business information in such displays.

6.4 Digit and Tech Brand Assets

All trademarks, service marks, logos, branding, and proprietary methodologies of Digit and Tech remain the exclusive intellectual property of Digit and Tech. Clients are granted no rights to use our brand assets without explicit written consent.

7. Confidentiality

Both parties agree to maintain strict confidentiality regarding all non-public information shared during the course of the engagement, including but not limited to business strategies, financial data, technical specifications, client lists, and proprietary processes. This obligation survives the termination of the agreement and remains in effect indefinitely unless the information enters the public domain through no fault of the receiving party.

Digit and Tech will not sell, rent, or share your confidential business information with any third party without your prior written consent, except where required by law or necessary to deliver the contracted services (e.g., sharing with a trusted hosting provider or platform).

8. Warranties & Disclaimer

8.1 Our Commitment

Digit and Tech warrants that our services will be performed with reasonable skill and care, in accordance with industry best practices, and that all deliverables will materially conform to the agreed scope of work as described in the accepted proposal.

8.2 No Guarantee of Results

While we apply proven methodologies and have a strong track record of delivering exceptional results, Digit and Tech cannot and does not guarantee specific outcomes such as particular search engine rankings, advertising return on investment, conversion rates, revenue increases, or traffic volumes. Digital marketing results are influenced by numerous factors outside our control, including search engine algorithm changes, market competition, industry trends, and the Client’s own product or service quality.

8.3 Third-Party Platforms

Digit and Tech is not responsible for changes, restrictions, suspensions, or terminations imposed by third-party platforms including but not limited to Google, Meta (Facebook/Instagram), TikTok, Snapchat, WordPress, Shopify, or any hosting provider. We will work diligently to adapt to platform changes; however, platform policy changes are beyond our control.

8.4 Disclaimer of Implied Warranties

To the maximum extent permitted by applicable law, all services are provided “as is” and “as available” without any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, beyond those expressly stated herein.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Digit and Tech’s total cumulative liability to the Client for any claims arising out of or related to these Terms or the services provided shall not exceed the total fees paid by the Client to Digit and Tech in the three (3) months immediately preceding the event giving rise to the claim.

In no event shall Digit and Tech be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or cost of substitute services, even if advised of the possibility of such damages.

This limitation applies regardless of the legal theory under which the claim is brought, whether in contract, tort (including negligence), strict liability, or otherwise.

10. Indemnification

You agree to indemnify, defend, and hold harmless Digit and Tech, its officers, directors, employees, contractors, agents, and affiliates from and against any claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of our services in violation of these Terms;
  • Any content, materials, or information you provide to us that infringes any third-party intellectual property, privacy, or other rights;
  • Your violation of any applicable law or regulation;
  • Any misrepresentation made by you in connection with the engagement; or
  • Any claim brought by a third party relating to your business, website, products, or services.

11. Revision Policy & Scope Changes

Each project proposal includes a specified number of revision rounds. Revisions are defined as minor adjustments within the agreed scope of work and do not include fundamental changes to design direction, significant content restructuring, or new feature requests. Any changes that fall outside the agreed scope will be treated as a change request and quoted separately at our standard hourly rate.

Clients who repeatedly request revisions beyond the agreed scope without accepting the work may be subject to additional fees. Digit and Tech will always communicate scope concerns before proceeding with out-of-scope work.

12. Project Timelines

Estimated timelines provided in proposals are good-faith projections based on the project scope and typical delivery times. Timelines are contingent on the Client providing required materials, feedback, and approvals on schedule. Digit and Tech is not liable for delays caused by Client inaction, third-party platform issues, force majeure events, or changes requested by the Client. If a Client causes significant delays, Digit and Tech reserves the right to reschedule the project and this may affect the original quoted timeline.

13. Termination of Services

13.1 Termination by Client

You may terminate ongoing services by providing 30 days written notice via email to admin@zinzo.store. Upon termination, you are liable for all fees for work completed through the termination date plus any third-party costs already incurred. Deposits and advance payments for the current billing period are non-refundable.

13.2 Termination by Digit and Tech

Digit and Tech reserves the right to suspend or terminate services immediately and without notice if: (a) the Client fails to make payment when due; (b) the Client engages in abusive, harassing, or threatening behaviour toward our team; (c) the Client provides false information or materials; (d) the Client requests us to engage in unlawful activities; or (e) continuing the engagement would create legal or reputational risk for Digit and Tech. In such cases, no refund of previously paid fees will be provided.

13.3 Effect of Termination

Upon termination, Digit and Tech will deliver to the Client all completed deliverables paid for in full. Incomplete deliverables will not be transferred until full payment for work completed is received. All access credentials provided by the Client should be changed by the Client following termination.

14. Force Majeure

Digit and Tech shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of war or terrorism, government actions, internet outages, cyberattacks, or failures of third-party services. In such cases, we will notify the Client promptly and work in good faith to resume services as soon as reasonably practicable.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable international digital commerce laws. In the event of a dispute, both parties agree to first attempt to resolve the matter informally through good-faith negotiation. Either party may initiate this process by sending written notice describing the dispute. If the dispute is not resolved within 30 days of such notice, either party may pursue formal resolution through binding arbitration or the courts of the jurisdiction mutually agreed upon by the parties.

Nothing in this clause prevents Digit and Tech from seeking urgent injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

16. Privacy & Data Protection

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By engaging our services, you consent to our data practices as described in the Privacy Policy. Digit and Tech is committed to compliance with applicable data protection regulations including GDPR (for EU/UK clients) and other relevant frameworks.

17. Electronic Communications & Contracts

You consent to receiving communications from Digit and Tech electronically, including emails, messages, and electronic documents. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. Digital acceptance of proposals (including email confirmations) constitutes a valid, legally binding agreement.

18. Entire Agreement & Severability

These Terms, together with any accepted project proposal, SOW, or retainer agreement, constitute the entire agreement between you and Digit and Tech with respect to the subject matter herein and supersede all prior discussions, representations, or agreements. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
